Compliance with the laws and regulations that are applicable to our business throughout the world is fundamental. In addition, our goal is to adhere to the spirit of our mission and values as well.

The Code of Business Conduct and Ethics below applies to all of our employees. Although the Code of Business Conduct and Ethics provides a guide or overview of the relevant issues, we encourage all employees to exercise good judgment in each decision that we make. In essence, our goal is to always do the right thing!

Notice of Amendment

On February 8, 2018, the Board of Directors, upon recommendation of the Governance Committee, approved an amendment and restatement of the Code of Business Conduct and Ethics (“Code”). The amendment did not change the general guidelines and principles outlined in the Code for conducting business consistent with the highest ethical standards.

The primary reasons for reorganizing and rewriting the Code were to improve the design and readability, to incorporate the Company’s global policies not previously referenced in the Code and to expand sections to include more detail and relevant job-specific examples. Changes to the Code include, but are not limited to, the addition of a letter from the Company’s CEO, an update to “Our Values” section to align with the Company’s refreshed values, and an enhancement of the “Speaking Up” section to include a Web Reporting resource.
